Terms and conditions
How we license our plugins, how we quote and deliver services, and the rules that apply to both.
ScalarWP (“we”, “us”, “our”) operates scalarwp.com, sells licences for WordPress plugins, and provides custom WordPress engineering services. These terms cover all three. Part B applies if you buy a plugin licence. Part C applies if you engage us for project work. Part A and the common terms apply to everyone.
Part A — Using this website
Acceptance
By using this website you accept these terms. If you do not accept them, please stop using the site.
Information, not advice
Content here is published for information. Prices shown on the pricing page are guide ranges, not quotes or offers. Nothing on this site forms a contract until we have agreed a written scope, or until you complete a purchase.
Our content
The site’s text, illustrations, design and brand assets are ours. You may read, share and link to them, but not reuse them commercially without written permission. This is separate from the plugin code, which is licensed as set out in Part B.
Third-party links
We link to sites we do not control. A link is not an endorsement, and we are not responsible for their content or availability.
Part B — Plugins and licences
What a licence gives you
A paid licence gives you a licence key, plugin updates while the licence is active, and support. It is issued to you and is not for resale or sharing.
The plugin code is GPL
Our plugins are distributed under the GNU General Public License, the same licence as WordPress itself. You may use, modify and redistribute the plugin code under the terms of the GPL. We do not restrict that, and nothing in these terms should be read as trying to.
What the GPL does not cover, and what remains ours, is our trademarks and brand assets, and the licence keys we issue.
Licence keys
Licence keys remain our property. You may not resell, redistribute or publish a key. You may use your key on sites you build for clients, provided the client is not charged for the key itself.
We may suspend or cancel a key that is being resold or shared. The sites a licence covers are shown at checkout.
Updates and support
Updates are delivered while your licence is active. Support is unlimited — there is no ticket cap or fair-use limit — and covers the plugin working as described, not custom development on your site. If you want custom work, that falls under Part C.
Payment and renewals
Purchases are taken on scalarwp.com through FluentCart with Stripe as the payment processor. We never see or store your full card details; Stripe handles them.
Where a licence is sold as a subscription, it renews automatically at the price shown at checkout unless you cancel before the renewal date. You can cancel at any time from your account or through the contact page.
Refunds
Paid licences can be refunded within 14 days of purchase. Renewal payments are not refundable. The full terms are in our Refund Policy.
Free plugins
Versions published free on WordPress.org are provided as-is under the GPL. We help where we can through the WordPress.org support forums, but the support commitment above applies to paid licences.
Part C — Services
How we quote
Every project goes through a review, a feasibility study and a written scope before you receive a price. We then send a written proposal with one fixed price for that scope.
The price you approve is the price you pay for that scope. It changes only if you decide to change the scope, and we will agree that with you in writing before any further work happens.
Scope, changes and timelines
- Work outside the agreed scope is quoted separately before it starts.
- Delivery estimates assume we receive access, content and decisions when we ask for them. Delays on your side move the timeline.
- Faster delivery options carry the uplift shown on the pricing page at the time of the proposal.
- If a requirement turns out to be smaller than expected, we tell you and quote the smaller thing.
Payment
- Invoices are payable per the terms on the invoice.
- Larger projects are split into milestones, and payments follow visible progress.
- Work may pause on overdue invoices.
- Hosting, plugin licences, platform and payment-provider fees are yours, not ours, and are not included in a project price.
What you need to provide
- Access to the systems we need to work on, and someone who can answer questions and make decisions.
- Valid licences for the plugins and services your project relies on.
- A current backup of your site before we begin. We take our own precautions, but the authoritative backup is yours.
Ownership of custom work
On final payment, the custom code we write for you is yours. We hand over the source in your repository, along with documentation. You are free to modify it, extend it, or have someone else maintain it.
This is different from a plugin licence under Part B: buying a licence does not transfer ownership of the plugin, and commissioning custom work does not give you rights over our products.
We keep ownership of our general know-how and of any pre-existing tools or libraries of ours that we reuse; where those are included, you get a perpetual licence to use them as part of your project.
Third-party plugins and platforms
Most work builds on software we do not control — WordPress core, WooCommerce, FluentCart, SureCart, the Fluent suite and others. We build against their supported extension points so updates stay safe, but we cannot guarantee a third party will not change or discontinue something. Work needed because a third party changed is a new scope.
Support after launch
Every project includes testing before handover and fixes to defects in what we delivered. A defect is behaviour that does not match the agreed scope.
New features, changes of mind, and problems caused by other software or by edits made after handover are not defects. Ongoing care is available and is scoped per project; it is never bundled in by default.
Confidentiality
We keep what we learn about your business confidential and will sign your NDA if you have one. We may describe work at a high level as a case study only with your agreement.
Cancellation
Either side can end an engagement in writing. You pay for work completed and for any committed costs up to that point, and we hand over what has been built and paid for.
Common terms
Warranties
Our plugins and this website are provided on an “as is” and “as available” basis. We do not warrant that software will be uninterrupted or error-free, or that it will meet a requirement we have not agreed in writing. Services are delivered with reasonable skill and care against the agreed scope.
Liability
We do not accept liability for indirect or consequential loss, including lost profit, lost revenue or lost data. Our total liability for any claim is limited to the amount you paid us for the product or the work the claim relates to.
Nothing here limits liability that cannot lawfully be limited, including liability for death or personal injury caused by negligence, or for fraud.
Indemnity
You agree to cover our costs and losses arising from your breach of these terms, or from your unlawful use of the site, our plugins or our work.
Severance and waiver
If any term is found invalid or unenforceable, it is severed and the rest stay in force. If we do not enforce a term on one occasion, we keep the right to enforce it later.
Governing law
These terms are governed by the laws of Bangladesh, without regard to conflict of law principles. Any dispute will be resolved in the competent courts of Dhaka, Bangladesh.
Changes
We may update these terms. For a project, the version in force is the one published when the proposal was accepted. For a licence, the version in force is the one published at purchase or at the most recent renewal.
